Toronto, May 05, 2022– (Business Wire) – Brag Gaming Group (NASDAQ: BRAG, TSX: BRAG) (“Bragg” or “Company”), a global B2B gaming technology and content provider, announced today that it has hired Alex Spiro to provide services. Has resigned from the audit committee of the board of directors and Rob Godfrey has resigned from the audit committee. Both changes occurred on May 1, 2022. Reflecting on these changes, the company’s audit committee is made up of Paul Pathak (chair), Holly Gagnon and Alex Spiro. Each of these three members of the Audit Committee meets the criteria for independence of directors as directed in Rule 10A-3 (b) (1) under the Securities Exchange Act, 1934.
On May 4, 2022, Bragg received a notice from the Nasdaq Stock Exchange (“Nasdaq”) that prior to the aforementioned changes in the composition of the audit committee, the company was not complying with Nasdaq’s List Rule 5810 (b), which requires the audit committee to have three independent directors. The appointment of Paul Godfrey as interim CEO on November 15, 2021, resulted in disagreement, with Rob Godfrey no longer independent due to family ties. With the above changes in the composition of the board, Bragg is now complying with Rule 5810 (b) of the Nasdaq List.
